I, JOANNE CURRIE, a Notary Public in and for the Province on New Brunswick, by Royal Authority duly appointed, commissioned and sworn, residing and practising at the City of Campbellton, in the County of Restigouche and Province of New Brunswick, DO HEREBY CERTIFY, that:
1. The photostatic reproduction hereto annexed and identified by my initials is a true copy of the Agreement between RESPERIN CORPORATION LIMITED, DAVID FINGARD and RENE M. CAISSE bearing date October 26, 1977.
2. The said original was produced for me at my office at 17 O'Leary street in the City of Campbellton, New Brunswick, E3N 3G9.
3. I have Carefully compared the said photostatic reproduction with the said original document.
An act whereof being requested, I have granted the same under my notarial form and seal of office to serve and avail as occasion shall or may require.

AGREEMENT made as of the 26th day of October, 1977.
BETWEEN:
RESPERIN CORPORATION LIMITED,
a company incorporated under the laws
of the Province of Ontario
(hereinafter called "Resperin")
OF THE FIRST PART
- and -
DAVID FINGARD, of the Municipality
of Metropolitan Toronto, in the Province
of Ontario
(hereinafter called "Mr. Fingard"
OF THE SECOND PART
- and -
RENE M. CAISSE, of the Town of
Bracebridge, in the Province of Ontario,
Registered Nurse (hereinafter called Rene M. Caisse)
OF THE THIRD PART
WHEREAS Rene M. Caisse represents and warrants to Resperin and Mr. Fingard that she has developed and has sole and exclusive proprietary rights to a treatment for the allevation and cure of cancer (such treatment being hereinafter referred to as the "ESSIAC®" treatment);
AND WHEREAS Rene M. Caisse also represents and warrants to Resperin and Mr. Fingard that she has not disclosed to any other person or company any particulars of the ESSIAC® treatment or the formula for or ingredients of any medication comprised therein;
AND WHEREAS Rene M. Caisse represents and warrants to Resperin and Mr. Fingard that a sealed envelope containing all particulars of the ESSIAC® treatment and the formula for and ingredients of all medication comprised therein has been lodged in trust agreement (hereinafter called the "Trust Agreement") and that such Trust Agreement provides, inter alia, that Rene M. Caisse may terminate the said Trust Agreement and recover the said sealed envelope containing all particulars of the ESSIAC® treatment and the formula for and ingredients of all medication comprised therein at any time;
AND WHEREAS Rene M. Caisse and Resperin have agreed to co-operate in the promotion of the ESSIAC® treatment for use throughout the world in alleviation and cure of cancer all on and subject to the terms of this agreement;
not be entitled to assign its intrest in this agreement during the afore-said six months' period to any other person, firm or corporation without the express written consent of Rene M. Caisse.
12. In the event that any party to this agreement fails for any reason to fulfill and discharge such party's responsbilities under this agreement or fails to adhere to the terms and conditions set out herein, the other party or parties shall be entitled to take all appropriate legal recourse against the defaulting party.
 IN WITNESS WHEROF the parties hereto have executed this agreement.
